1. Acceptance of Terms

By accessing or using 123LegalDoc ("we", "us", "our", or the "Service"), you agree to these Terms of Use ("Terms") and our Privacy Policy. If you do not agree, do not use the Service.

2. What We Are (and Are Not)

123LegalDoc provides self-help software that allows you to generate documents from your inputs. We are not a law firm, we do not provide legal advice, and your use of the Service does not create an attorney-client relationship. Information you provide is governed by our Privacy Policy and is not protected by attorney-client privilege.

3. Accounts and Eligibility

You must be at least 18 and capable of forming a binding contract. You are responsible for your account and for maintaining the confidentiality of your login credentials.

4. Payments and Refunds

If you purchase paid features, you authorize us (and our payment processor) to charge your payment method. Fees are displayed at checkout. Unless required by law or stated otherwise, all fees are non-refundable.

5. AI Features

AI-assisted suggestions may be generated from your inputs. AI output is not legal advice and may be inaccurate, incomplete, or outdated. You are solely responsible for reviewing, editing, and using any AI-generated text.

6. Your Content; License to Us

You retain ownership of your inputs and generated documents. To operate the Service, you grant us a worldwide, nonexclusive, royalty-free license to host, process, transmit, and display your content solely to provide and improve the Service. See the Privacy Policy for data handling details.

7. Acceptable Use

  • No unlawful, infringing, defamatory, or deceptive content.
  • No reverse engineering, scraping, or bypassing access controls.
  • No introduction of malware or interference with the Service's operation.

8. Intellectual Property

The Service, including software, design, and content (excluding your content), is owned by us or our licensors and is protected by intellectual-property laws. These Terms do not grant you any rights in our trademarks or branding.

9. Third-Party Services

The Service may integrate third-party services (e.g., payments, storage, analytics). Their terms and privacy policies govern your use of those services.

10. Disclaimers

THE SERVICE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

Some jurisdictions do not allow certain disclaimers; your rights may vary.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US FOR THE SERVICE IN THE THREE (3) MONTHS BEFORE THE CLAIM AROSE OR (B) USD $100.

12. Indemnification

You agree to defend, indemnify, and hold us harmless from any claims, damages, liabilities, and expenses arising out of or related to your content or your breach of these Terms.

13. Dispute Resolution; Arbitration; Class-Action Waiver

Binding Arbitration. You and 123LegalDoc agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by final and binding arbitration, rather than in court, except that you may assert claims in small-claims court if your claims qualify.

The arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, applying the U.S. Federal Arbitration Act. The seat of arbitration will be Collier County, Florida, and the language will be English. Either party may seek provisional relief in a court of competent jurisdiction to protect its rights.

Class-Action Waiver. You and 123LegalDoc agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding. The arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of a representative or class proceeding.

30-Day Opt-Out. You may opt out of this arbitration agreement by emailing support@123legaldoc.com within 30 days of first accepting these Terms, stating that you opt out of arbitration. If you do, neither you nor we can require the other to participate in arbitration.

14. Governing Law; Venue

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles, except that the Federal Arbitration Act governs Section 13. Subject to Section 13, the exclusive venue for any claims that must be brought in court will be the state courts located in Collier County, Florida or the U.S. District Court for the Middle District of Florida, Fort Myers Division.

15. Changes

We may update these Terms from time to time. If we make material changes, we will provide notice (for example, by posting here or via the Service). Your continued use of the Service after the changes become effective constitutes acceptance.

16. Termination

We may suspend or terminate your access to the Service at any time, including for violation of these Terms. You may stop using the Service at any time.

17. Miscellaneous

  • Severability: If any provision is unenforceable, the remainder remains in effect.
  • Entire Agreement: These Terms and the documents they reference are the entire agreement.
  • No Waiver: Failure to enforce a provision is not a waiver.
  • Assignment: You may not assign without our consent; we may assign as permitted by law.
